Creative Membership Terms & Conditions

The Bespoke Gift Company advises that you read the terms and conditions stipulated below carefully.

Once Gift Designers and Creative Membership has been approved by The Bespoke Gift Company you enter into a partnership that is legally binding based on these terms and conditions approved in conjunction with your application form submitted at registration. Confirmation of approval as a Gift Designer or Creative Member can be undertaken either in writing or electronically. The contract comes into effect on the basis of the Gift Designer or Creative Member submitting a Registration Form and The Bespoke Gift Company on behalf of The Poetry Studio Limited granting approval. Financial remuneration comes into effect from and including the first date that published content is live on www.thebespokegiftcompany.co.uk or www.thepoetrystudio.co.uk.

Definitions

Gift Designers Gift Designers join The Bespoke Gift Company to manufacture and supply their independently managed gift range. The Bespoke Gift Company will act as a Retail Agent and supply a platform for the Gift Designer to manage their range and branding. The Retail Agent will accept no responsibility for the manufacture and supply of the gift ordered by the Shopper. The Gift Designer is wholly responsible for fulfilling the order based on the Terms and Conditions of Creative Membership as stipulated below. Failure to meet the terms and conditions will be regarded as breach of contract and membership status will be reviewed. The Bespoke Gift Company has the right to freeze and/or revoke membership immediately where cause deems this action.

Photographers, Graphic Designers and Writers - Photographers, Graphic Designers and Writers are Creative Members joining The Bespoke Gift Company to upload artistic work for publication and usage by The Bespoke Gift Company and The Poetry Studio Limited. This usage may include manufacturing in addition to publication. The Bespoke Gift Company will offer a gallery platform in which Creative Members can independently manage and upload their creative work. The Bespoke Gift Company retains all rights to edit and approve content prior to publication. Commission payments will be paid based on retail sales generated via The Bespoke Gift Company or The Poetry Studio Limited.

Terms and Conditions of Creative Member Partnership

1.   Membership Authorisation.
Gift Designers and Creative Members are subject to an approval process that is wholly at the discretion of The Bespoke Gift Company and The Poetry Studio Limited. Once approved Gift Designers and Creative Members will be given access to the Content Management System relevant to their membership status.

2.   Membership Length
Gift Designers and Creative Members are allowed access and usage to the Content Management System for one full year from and including the first date of live publication of content. Annual membership will be charged at the published rates and is offered at the discretion of The Bespoke Gift Company and The Poetry Studio Limited.

3.   Membership Confidentiality
Gift Designers and Creative Members are subject to strict confidentiality agreements and upon acceptance of Creative Membership access to the Content Management System is offered on the basis of only approved Creative Members using the content.

4.   Intellectual Property Rights
The website and Content Management System is wholly owned and designed by The Bespoke Gift Company on behalf of The Poetry Studio Limited and users must in no way, reproduce, replicate or in any way disseminate the content available for use.

5.   Copyright
The presentation of material uploaded by Gift Designers Creative Members is solely protected by the copyright of The Bespoke Gift Company and The Poetry Studio Limited. This does not affect individual copyright protection of Creative Members; this relates to the usage of the content for The Bespoke Gift Company and The Poetry Studio Limiteds manufacturing and retail purposes.

6.   Privacy
Once membership approval has been granted all personal details from VAT registration to bank details remain strictly private and confidential and will not be used beyond the purpose of invoicing and commission payments.

7.   Gift Designer Remuneration
Gift Designers will pay 23% commission on the total net value of the sale generated to The Bespoke Gift Company (20% is net commission, 3% is the transaction charge). The remainder of the sales income will be paid to The Gift Designer. Gift Designers can set costs per Gift Wrap and Postage and clearly provide descriptions and terms in their published content.   Commission will be payable on optional extras such as gift wrap or delivery upgrades. Where Gift Designers are VAT registered this must be declared and paid direct to HM Customs and Revenue accordingly. The Bespoke Gift Company accepts no liability for VAT payments on behalf of Gift Designers.

8.   Photographers, Graphic Designers and Writers Remuneration
Creative Members will receive £5 commission payment per sale of their creative work via The Bespoke Gift Company or The Poetry Studio Limited.

9.   Financial Settlement
Creative Members have full access to their sales and commission logs. BACS payments will be made between the 1st and 7th of the month following the previous months reporting period. Email confirmation of payments made will be supplied automatically once BACS payments have been completed. Payments will only be payable on orders whereby order status is confirmed as Despatched.
